Introduction

Thank you for using the ZWSOFT Account System Service and products and services under ZWSOFT.

ZWSOFT Account System Service (hereinafter referred to as “the Service”) is a unified account management service provided by ZWSOFT Co., Ltd. (Guangzhou) and/or its affiliates (hereinafter collectively referred to as “ZWSOFT” or “the Company”). It provides users with a secure, convenient, and consistent user experience across all products and services in the ZWSOFT account system (hereinafter referred to as “products within the system”), where the ZWSOFT account serves as the access credential. Current products within the system include: all versions of ZW products and services (including the ZWCAD365 product app, PC, web, etc.), user center, AI feature login and usage, official website registration, community registration, and other related products and services under the Company.

ZWSOFT kindly reminds you: Please carefully read and fully understand all the terms in this Agreement that are closely related to your core rights and interests, especially the important terms marked in bold, which you should carefully review, understand, and abide by.

Our services and products are primarily aimed at adult users. If you are under 18 or have other circumstances that impair your ability to act in accordance with this Agreement, you must fully read and understand this Agreement in the presence of a guardian before using our services, products, and AI features, and you must obtain explicit consent from your guardian before using the relevant services, products, AI features, and submitting personal information. ZWSOFT will strictly comply with national laws and regulations and implement measures to protect minors’ personal information and safeguard their legal rights.

The products within the system are all Internet software products and online services operated by ZWSOFT. This User Agreement (hereinafter referred to as “this Agreement”) is the core binding agreement for your access, login, and usage of products within the ZWSOFT system and the Service. By completing the registration and login process for the Service, or by actually using the products and services within the system, you are deemed to agree to and accept all terms of this Agreement voluntarily. If you do not agree to any term of this Agreement, please immediately stop using the Service and any products within the system.

ZWSOFT reserves the right to revise this Agreement based on amendments to laws and regulations, adjustments to regulatory policies, or the need for product and service optimization. For any changes to pricing rules, data processing methods, liability limitations, account rights, or other matters that significantly impact user rights, the Company will provide advance notice through reasonable means such as in-platform notifications, pop-up alerts, and emails. You have the right to stop using the related services and apply for account cancellation during the public announcement. If you continue to use the Service and the products within the system after the agreement changes take effect, it will be deemed that you acknowledge and accept the revised agreement. Routine optimization changes that do not involve significant right adjustments will take effect immediately after announcement. In the event of any conflict between the old and new versions of this Agreement, the latest effective version shall prevail.

If you register, log in, or use the Service and the products within the system under the name of an institution, enterprise, or organization (not an individual), you declare that you have obtained the legal, complete, and valid authorization of such institution, and possess the full authority to sign, acknowledge, and comply with this Agreement and subsequent revised versions on behalf of such institution. If you use the Service in the name of an institution without legal authorization, resulting in losses to ZWSOFT, the cooperative platform, or any third party, you shall independently bear all legal responsibilities and fully compensate for all losses caused thereby.

1. Content of products or the Service

1.1 The Service is built on Internet technology, supports cross-device and cross-client access, and relies on cloud storage and computing power to realize a full-process service collection of CAD drawing data viewing, creation, editing, and management, providing unified access account management service for the products within the system.

The core scope of the Service includes: all-terminal services for ZW account (APP, PC, web, etc.), user center, AI feature login and usage, training and certification services, official website registration, community registration, as well as various new services introduced by ZWSOFT and incorporated into the products within the system. The specific services available are subject to the actual content provided by ZWSOFT at the time.

1.2 To continuously optimize user experience and improve the service system, ZWSOFT will add and iterate service content from time to time. For certain specific functions and value-added services, the Company may separately formulate and publish special service agreements and usage rules. Such special agreements serve as effective supplementary agreements to this Agreement. Your use of the corresponding specific functions and services is deemed as agreeing to comply with all terms of the corresponding special agreements. If there is any conflict between the terms of this Agreement and the terms of a special agreement, the terms of the special agreement shall prevail for matters relating to the special service.

1.3 You expressly acknowledge and agree that some of ZWSOFT's products, functions, and value-added services require payment to activate before they can be used. The specific items charged, charging standards, payment methods, service validity periods, usage permissions, etc., shall be subject to the information published on the corresponding service pages or to the latest charging rules officially announced by ZWSOFT. You are obligated to fully understand and confirm the charging rules, service content, and usage restrictions of the corresponding services before completing the paid purchase. By completing payment and initiating use, you are considered to have fully understood, acknowledged, and accepted all charging rules.

The free trial, free basic features, and free experience services provided by our company do not constitute a permanent waiver of ZWSOFT's right to charge for such features. ZWSOFT reserves the right to optimize and adjust the billing model and standards for paid services based on operational plans, product iterations, market adjustments, etc., and retains the right to change existing free features and services in whole or in part to paid services. Before any adjustments to the service charging rules, the Company will inform users in advance through reasonable methods such as service page announcements, in-platform notifications, and official publications. If you do not agree with the adjusted charging rules, you may voluntarily stop using the corresponding services. If you continue to use the services after the charging rules take effect, you must strictly adhere to the latest published standards and pay the corresponding service fees.

1.4 The service fee you pay only applies to the products and services provided by ZWSOFT and does not include third-party costs such as hardware equipment, network bandwidth, and communication services that you need to configure to use the Service. You must bear all third-party costs incurred in connection with the use of the Service, including, but not limited to, equipment purchase costs, network bandwidth fees, communication charges, SMS verification fees, and other related expenses.

1.5 You fully understand and agree that ZWSOFT has the right to change, adjust, suspend, or terminate all or part of the service content, functional permissions, and service channels in accordance with legal and regulatory requirements, adjustments to regulatory policies, business development plans, product iteration and optimization, and technical upgrades and transformations. The Company will notify users in advance through official announcements whenever possible.

2. Account Management

2.1 To register, log in and use all products within the system and the Service normally, you promise to: strictly follow the prompts on the service page, fill in true, accurate and valid core information such as the registration email, login password and mobile phone number, and update your account nickname, avatar and bound contact information in a timely manner to ensure that all account information remains legal, true and valid.

If you provide false, misleading or illegal registration information, or if ZWSOFT has reasonable grounds to determine that your account information or operational behavior falls under malicious programs, bulk violations or abnormal risk operations, or if you violate any provision of this Agreement, ZWSOFT has the right to unilaterally take measures such as suspending account functions, terminating service permissions and banning accounts, and may decide whether to restore account usage based on actual circumstances. All losses arising from such circumstances, including user data loss and service unavailability, shall be borne by you. If this causes losses to ZWSOFT or any third party, ZWSOFT has the right to pursue your legal liability in accordance with the law and demand full compensation for all losses.

2.2 During the registration, binding, login, and use of this account and the products and services within the system, you solemnly make the following commitments and guarantees:

(1) Register and activate an account for the products within the system only through the official website, officially authorized app store, official client, and other legitimate channels of ZWSOFT; do not obtain or register the account through unofficial channels.

(2) You are fully responsible for the authenticity, legality, and validity of your registration information and account data, and must proactively and timely update invalid information. It is strictly prohibited to impersonate others for registration or use of the account services.

(3) Safeguard the core security information of your account, including account number, login password, bound devices, validation information, etc., and bear full legal responsibility for all operations, behaviors, and results under your account.

(4) It is strictly prohibited to transfer, rent, lend, sell, gift, or share your personal/institutional account with any third party in any form.

(5) Malicious account registration is strictly prohibited, including but not limited to frequent repeated registrations, bulk registrations, false registrations, and bulk account farming via automated tools.

If ZWSOFT has evidence to prove or reasonably concludes that you have conducted unauthorized account registration, improper account use, malicious operations, or violated the above commitments and laws and regulations, the Company has the right to take measures such as functional limitations, service suspension, account freezing, account cancellation, or permanent banning based on the severity of the violations. If your violations cause losses to ZWSOFT or third parties, you are solely responsible for all legal and compensation liabilities.

2.3 If you discover security risks, such as your account being stolen, unauthorized login, or abnormal operations, or suspect that your account has security vulnerabilities, you must change your login password and binding information immediately and report it to an official ZWSOFT channel in a timely manner. ZWSOFT shall not bear any legal liability for account anomalies, information leaks, property and rights losses caused by personal reasons such as errors in your information entry, improper account management, or failure to address security risks in a timely manner.

2.4 You may apply to cancel your account in accordance with the official rules. After review and approval by ZWSOFT, the account will be officially canceled, and the service contract relationship between you and ZWSOFT based on the Service will be terminated immediately. The Company will stop providing all products and services within the system to the account. Account cancellation does not exempt you from the following responsibilities, and ZWSOFT still reserves the corresponding rights:

(1) According to the requirements of the Cybersecurity Law of the People’s Republic of China and other laws and regulations, ZWSOFT is required to legally retain your account registration information, historical operation log, and other data for a period of no more than six months from the date of account cancellation. This retained data is used only for compliance purposes and not for daily commercial services.

(2) If you have engaged in illegal activities or violated the terms of this Agreement before the account is canceled, ZWSOFT still has the right to pursue your full legal liability based on this Agreement and relevant laws and regulations.

2.5 After the account is canceled, ZWSOFT will delete or anonymize the personal information, order data, usage records, and created content under the account in accordance with the law. The processed data cannot be recovered or restored. Before account cancellation, you must complete the backup, download, and retention of your personal data, created content, and important documents on your own. ZWSOFT has no obligation to provide data backup, recovery, or retention services for account cancellation. All consequences resulting from data loss, damage, or inability to recover caused by your failure to back up in a timely manner, personal operational errors, or other personal reasons will be borne by you.

3. Usage Guidelines

3.1 Content and Behavior Guidelines

You agree to strictly adhere to national laws and regulations, industry standards, and the terms of this Agreement while using the Service and the products within the system. You will respect the principles of voluntariness, equality, fairness, and good faith. You will use the Service legally and in compliance, without using the Service to engage in infringement, illegal or non-compliant activities, or to disrupt the normal operational order of the platform and public order online.

ZWSOFT is committed to maintaining a civilized, healthy, compliant, and orderly platform usage environment. You are strictly prohibited from using the Service to create, replicate, upload, publish, disseminate, or spread the following illegal and non-compliant content:

(1) Content that violates the basic principles established by the Constitution;

(2) Content that endangers national security, leaks state secrets, subverts the national regime, or undermines national unity;

(3) Content that harms national honor, interests, and public welfare;

(4) Content that incites ethnic hatred, ethnic discrimination, or undermines national unity;

(5) Content that violates national religious policies, promotes cults, or spreads feudal superstition.

(6) Content that fabricates and spreads rumors, disrupts social order, and undermines social stability.

(7) Content that disseminates obscene, pornographic, gambling, violent, murderous, or terrorist information, or encourages or induces others to commit related illegal activities.

(8) Content that insults, defames, or slanders others, infringes upon others’ rights to reputation, portrait, privacy, and other legal rights.

(9) Other types of illegal or non-compliant content prohibited by laws, regulations, and administrative rules.

3.2 Behavioral Code of Conduct

Unless explicitly permitted by laws and regulations or formally authorized in writing by ZWSOFT, you are strictly prohibited from engaging in the following actions during the use of this product and service:

(1) Deleting or altering copyright, trademark, patent, and other intellectual property ownership identifiers and declaration information specified in the service software and its copies.

(2) Conducting reverse engineering, decompilation, or disassembly of the service software or system program, or using other technical means to crack or steal software source code, core algorithms, and system data.

(3) Using, renting, lending, copying, modifying, reproducing, compiling, publishing, or distributing content, software functions, and related materials for which ZWSOFT holds intellectual property rights without authorization.

(4) Using plugins, cheat programs, unauthorized third-party tools, etc., to copy, modify, add, or delete data that comes with the service software, system operation data, user interaction data, or to create and generate related derivative works.

(5) By tampering with, forging software operating instructions, backend data, etc., privately altering, adding or reducing software functions and operating effects, or using the aforementioned illegal technical means and tools for commercial or non-commercial purposes and for external dissemination and operation;

(6) Using third-party software, plugins, cheat programs, or systems that are not developed or officially authorized by ZWSOFT, to log into or use the Service and the products within the system, or to create, publish, or disseminate such illegal tools;

(7) Interfering with, damaging, tampering with the software, components, modules, data of the Service and the normal operation order, either by yourself or by authorizing any third party to do so;

(8) Other unauthorized, infringing activities without the explicit written authorization of ZWSOFT.

The Service and the products within the system are for your own use or the internal use of the organization that you represent only. You may not transfer, sublicense, sub-distribute, or share all or part of the permissions, functions, and resources of the Service to any third party in any form. If you violate this provision, you shall bear full responsibility for the violation and be jointly liable with the third party actually using them. ZWSOFT has the right to restrict or terminate all your platform service permissions unilaterally. This clause takes precedence over other similar provisions in this Agreement, and in the event of any conflict, this clause shall prevail.

You commit that during the use of the Service, you will not engage in the following behaviors:

(1) Violating this Agreement, special service agreements, and relevant national laws, regulations, and industry supervision regulations;

(2) Engaging in illegal or non-compliant activities using the Service, infringing on the legitimate rights and interests of third parties, or seeking unjust profits;

(3) Impersonating employees, partners, or any other entities of ZWSOFT, or falsely claiming your cooperation or association with ZWSOFT and other entities;

(4) Counterfeiting platform identifiers, headers, data identifiers, deliberately concealing the source of content, and operational traces;

(5) Interfering with or damaging the servers, network channels, and operational order of the Service, and refusing to comply with the platform network operation rules and service specifications;

(6) Collecting, storing, or stealing personal information, account data, and usage materials of other users in bulk for commercial profit;

(7) Engaging in behaviors that harm the physical and mental health of minors or infringe upon their legitimate rights and interests;

(8) If your usage actions trigger third-party infringement complaints or claims of rights, regardless of whether they are ultimately determined by competent authorities to be illegal infringement, ZWSOFT has the right to investigate and handle according to regulations;

(9) Maliciously defaulting on or refusing to pay the relevant fees for the Service;

(10) Engaging in other behaviors deemed by ZWSOFT as damaging to platform order, improper, or unreasonable.

3.3 Input and Output Content Specifications

You bear full legal responsibility for all input content, directive information you submit to the Service, and all output content generated by the Service based on your instructions. You promise that all input and output content is legal and compliant, and does not infringe on the legitimate rights and interests of any natural person, legal entity, or other organization. You guarantee that you have obtained all legal authorizations for submitting and processing the relevant input content, that the content does not contain state secrets or trade secrets, will not harm national security or damage public interests, and does not infringe on third-party intellectual property rights, portrait rights, reputation rights, privacy rights, personal information rights, and other legitimate rights.

Under the premise of strictly complying with laws, regulations, and the provisions of this Agreement, you enjoy the following rights regarding the service input and output content: 1. You permanently retain all ownership, intellectual property rights, and other legitimate rights related to the input content you submit. 2. All legitimate rights to the output content generated based on your legal instructions in the Service belong to you.

Except for the specialized storage services explicitly stated on the product page, the Service does not provide long-term backup or permanent storage services for user input and output content. You need to download, export, and back up all creative content, drawing data, interaction records, and other important information in a timely manner, according to your needs. ZWSOFT is not liable for any losses, damages, or unrecoverable data caused by your failure to back up in a timely manner, personal operational errors, or due to non-ZWSOFT-related factors such as system maintenance, service adjustments, network anomalies, or service interruptions; all losses shall be borne by you.

To continuously optimize model capabilities, improve service quality, and iterate product functions, ZWSOFT may use the user input and output content collected during the service process for model training, service optimization, and product iteration work, provided that strict encryption is applied, complete de-identification is conducted, and specific user identities cannot be traced back. You hereby grant ZWSOFT a worldwide, free, non-exclusive, and irrevocable legal data processing license.

If the content you upload or submit does not belong to you or involves third-party rights (for example: the drawing content you upload involves works that are copyrighted by a third party, or contains trade secrets of a third party, etc.), you should adequately explain the uploading, submission, processing and potential use of the aforementioned content for model training, service optimization, product iteration arrangements to the relevant rights holders, information subjects, or other authorized entities, and obtain their corresponding authorization or consent.

Exit Mechanism: If you do not agree to the use of your personal data for model training, you can turn off the “Data for Optimizing Experience” function at any time through product settings. After doing so, your relevant data will no longer be used for model training. Enterprise users can have administrators disable the enterprise cloud drive service uniformly from the administration console. Once disabled, the input and output content from all users in the enterprise will no longer be used for model training.

Scope of application: This data optimization and model training mechanism applies only to ZWCAD365 and similar products and does not affect your use of the services or data rules of other ZWSOFT products.

When you use artificial intelligence technology to generate or synthesize text and other content through the Service, we reserve the right to add AI generation identifiers in accordance with applicable laws and regulations. This includes adding explicit identifiers that are clearly perceptible to users in the generated or synthesized content or interactive scenario interface, as well as adding implicit identifiers in the file metadata of the generated or synthesized content (collectively referred to as “AI identifiers”).

AI-generated content may have certain limitations, and may contain information biases, omissions, inaccuracies, incompleteness, or may not fully match your actual needs. The content is for reference only and does not constitute any guarantee or commitment from us regarding its authenticity, accuracy, completeness, applicability, or suitability for a particular purpose, nor should it be used as the sole basis for your decision to take or not take any action. Please carefully assess and use this according to the actual situation. You assume full responsibility for any decisions and actions made based on the content of the output.

Content involving artificial intelligence outputs should not be the sole basis for any actions you take or choose not to take. Any judgments, decisions, and subsequent actions you make based on the output content of the Service are entirely done by yourself. You bear all consequences, risks, and legal responsibilities arising therefrom (including but not limited to risks triggered by relying on the authenticity, accuracy, reliability, legality, or suitability for a particular purpose of the content).

4. Intellectual Property

4.1 The intellectual property rights of the input content you submit or upload to the Service belong to you or the corresponding legal rights holder. ZWSOFT does not claim ownership or intellectual property rights of such content. If the input and output contain proprietary content owned by ZWSOFT (including but not limited to software frameworks, templates, algorithms, official materials, etc.), all intellectual property rights for that part of the content shall remain with ZWSOFT, and ownership will not change because it is included in the user’s output.

ZWSOFT is the sole legitimate holder of intellectual property rights for the Service and the products within the system. All intellectual property rights corresponding to the products and the Service, including copyrights, patents, trademarks, trade secrets, interface design, layout framework, program codes, official materials, etc., are protected by the laws and regulations of the People’s Republic of China and international treaties. Except for legally stipulated third-party legitimate ownership content, all intellectual property rights are exclusively owned by ZWSOFT.

Without the written formal authorization of ZWSOFT, you shall not use, copy, disseminate, transfer, or authorize third parties to use the above-mentioned intellectual property content for commercial or non-commercial purposes. ZWSOFT reserves the right to pursue legal responsibility for all intellectual property infringement and to seek compensation.

You undertake that all content uploaded, created, or published through the Service, including text, drawings, images, materials, etc., is original or has obtained complete and legal authorization, with no ownership defects. The intellectual property rights of the content you independently create through the products within the system belong to you or the original legitimate copyright owner.

You agree to grant ZWSOFT a free, non-exclusive, worldwide, limited right to use the content solely for providing, maintaining, optimizing, and upgrading the Service, including the lawful collection, storage, management, backup, and protection of your created content and user data. If ZWSOFT needs to use your original content for commercial promotion, display, or other purposes, it will separately obtain your explicit consent. This authorization is required for the performance of the Service and does not change your ownership of all intellectual property rights for your own created content, nor does it affect your legal rights to use your own content.

5. User Personal Information Protection

5.1 Protecting users’ personal information and privacy is a core service principle of ZWSOFT. During the account registration, login, and service usage processes, ZWSOFT will implement industry-standard security technologies and management measures to protect your personal information. ZWSOFT promises to collect and use your personal information only to the extent necessary to provide services, fulfill service functions, and meet legal obligations. We will not disclose your information to external parties without your explicit consent, except in the following circumstances:

(1) You actively consent to sharing or authorize others to, or at your own discretion, share your personal information on the platform;

(2) Judicial agencies or administrative regulatory departments legally require relevant information to be retrieved or disclosed;

(3)You violate this Agreement or engage in illegal and non-compliant activities, and ZWSOFT reasonably discloses information necessary for safeguarding rights and pursuing accountability.

5.2 ZWSOFT will take reasonable and necessary technical protection measures to ensure the security of user data transmission, storage, and use. However, you are clearly aware that the internet environment has inherent technical risks. During data transmission and storage, there may be unknown security vulnerabilities that could lead to data leakage, loss, damage, or unreadability. You voluntarily accept the inherent risks of internet services and commit to making your own data backups and implementing device protection and other security measures to avoid or reduce related risk and loss.

5.3 ZWSOFT shall not be liable for damages to your data security caused by inherent risks of the internet, third-party faults, force majeure, or other reasons that are not intentional or due to gross negligence on the part of ZWSOFT. If user data rights are damaged due to intentional or gross negligence by ZWSOFT, the Company shall assume full liability for compensation as per the law. In case of damages caused by ordinary negligence of ZWSOFT, the maximum compensation shall be the total amount of fees you have paid for the corresponding services during that period.

5.4 Subject to compliance with laws, regulations, and regulatory requirements, ZWSOFT may collect, use, and store users’ personal information in an explicit manner for product iteration, service optimization, experience upgrades, and risk prevention. Without your legal authorization, ZWSOFT will not arbitrarily disclose, edit, or leak your personal privacy information and non-public account data. You agree that ZWSOFT may process your personal information in accordance with the officially announced privacy rules.

5.5 For detailed rules regarding the collection, use, storage, disclosure, and deletion of users’ personal information, please refer to the Privacy Policy for ZWSOFT. If there is any inconsistency between this Agreement and the Privacy Policy on the same matter, the Privacy Policy shall prevail.

6. Liability for Breach and Limitation of Liability

6.1 Liability for Breach

If you violate any provision of this Agreement, or if the content you input, generate or publish through the Service infringes on the intellectual property rights, reputation rights, privacy rights, or other legitimate rights and interests of third parties, or if you have other violations or illegal actions, ZWSOFT has the right to independently determine the severity of the violation and take measures including but not limited to pop-up warnings, deletion of violating content, account function restrictions, account freezing, cancellation of rights, and permanent account bans. You shall bear all losses caused by your violations that result in the service being unable to function properly or the impairment of account rights, and ZWSOFT is not responsible and has no obligation to restore any deleted violating content.

If your actions are suspected of being criminal or illegal, ZWSOFT has the right to retain all operational records and evidence, and to cooperate with regulatory authorities and law enforcement agencies to conduct investigations and collect evidence. All matters related to third-party complaints, claims, lawsuits, or administrative penalties caused by your violations, infringements, or illegal actions shall be handled by you at your own expense, and you shall bear all legal responsibilities, economic losses, and costs for safeguarding your rights. If this results in losses to ZWSOFT or its affiliated companies, such as goodwill damage, economic compensation, administrative penalties, or costs for safeguarding rights, you shall compensate in full.

6.2 Limitation of Liability

By completing your account registration, logging in, and using the Service, you are deemed to be fully aware of, acknowledge, and accept all exemptions and limitations of liability clauses in this Agreement. The rights to interpret, revise, and update the exemption clauses in this Agreement are exclusively owned by ZWSOFT.

(1) ZWSOFT is not liable for any legal responsibilities stemming from personal information leakage or loss of rights due to your active disclosure of account passwords, account sharing, improper storage, or other personal reasons.

(2) ZWSOFT is not liable for, separately or jointly and severally, for disputes or losses arising from unauthorized third parties obtaining and using your personal information without ZWSOFT's authorization.

(3) ZWSOFT is not liable for compensation for the Service being temporarily interrupted, suspended, or closed due to hacker attacks, computer viruses, government temporary control, network failures, or other third-party factors and force majeure.

(4) If you use the Service to upload and disseminate illegal infringing content, ZWSOFT has the right to delete such content directly and reserves the right to hand it over to judicial authorities for handling.

(5) You own all copyright and related intellectual property rights to your legally created original works, and ZWSOFT does not claim ownership.

(6) The internet is a public sharing platform, and the content you voluntarily upload may be inherently at risk of being copied, reproduced, altered, or misused by third parties. You clearly understand and voluntarily assume such risk. You bear all consequences and losses resulting from your own actions, and except as clearly stipulated by laws and regulations, ZWSOFT bears no responsibility.

(7) Commercial advertisements and third-party promotional information displayed on the products within the system belong to the legitimate and compliant operating model of the platform. You agree to receive advertisements and promotional information from ZWSOFT and its cooperating third parties during your use of the Service. All transactions, communications, and collaborations between you and advertisers or third parties are independent actions. You bear the risks and losses of transactions. ZWSOFT does not guarantee the truthfulness, legality, or validity of third-party advertisements and is not responsible for related transaction losses.

6.3 Change, Suspension, and Termination of the Service

If the Service needs to be suspended or its functions are subject to adjustments due to system maintenance, version upgrades, or functional optimizations, ZWSOFT will notify users in advance through official announcements whenever possible.

In any of the following situations, ZWSOFT may temporarily suspend the Service and will make public announcements in advance as appropriate:

(1) Conducting equipment maintenance, hardware and software updates, or system maintenance upgrades.

(2) Server failures and equipment damage leading to the inability to operate normally.

(3) Sudden hardware and software failures, abnormal communication equipment.

(4) Line failures of network operators, network interruptions, and other third-party issues.

(5) The Service needs to be urgently suspended to maintain national security, public safety, and the safety of third-party persons and property.

(6) To comply with legal instructions or requirements from government agencies and regulatory bodies.

(7) Encountering force majeure, third-party faults, and other situations beyond the Company’s control.

In the event of any of the following situations, ZWSOFT has the right to unilaterally suspend or terminate the Service without prior notice to the user:

(1) The account information and personal details you submitted are false or fabricated.

(2) You violate the usage specifications under this Agreement and engage in non-compliant operations.

(3) ZWSOFT has reasonable grounds to suspect that you are involved in illegal, non-compliant, or infringing activities or has received valid third-party intellectual property infringement complaints or claims.

7. Applicable Law and Jurisdiction

7.1 If any provision of this Agreement is deemed invalid or unenforceable in whole or in part for any legal reason, it shall not affect the legal validity of the remaining provisions of this Agreement, and the remaining provisions shall remain valid and binding on both parties.

7.2 The failure of ZWSOFT to exercise or execute any right or term under this Agreement in a timely manner shall not be deemed a waiver of such right by the Company.

7.3 The conclusion, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by and construed in accordance with the laws currently in force in mainland China (excluding conflict of laws rules). If any provision of this Agreement is deemed invalid or unenforceable by a judicial authority, that provision may be severed without affecting the validity of the overall agreement.

7.4 All disputes and controversies arising out of or relating to this Agreement shall first be resolved through friendly negotiation. If negotiation fails, both parties agree to file a lawsuit in the people’s court with jurisdiction over the location where the ZWSOFT account system is operated (Guangzhou).

7.5 In the event of a dispute litigation, the contact address you provide on the platform shall be the valid address for serving legal documents, notices, and announcements. Delivery that cannot be made to the reserved address, when delivered by announcements or emails, shall be deemed valid delivery.

8. Miscellaneous Provisions

8.1 Given the continuous iterative updates of Internet services and products, ZWSOFT may formulate and issue relevant supplementary rules, announcements, statements, and notices in a timely manner based on product function upgrades, service optimizations, and adjustments to laws, regulations, and regulatory policies. The relevant public announcement documents, after being released through legitimate channels, constitute an effective supplement to this Agreement and have the same legal effect as this Agreement, which must be strictly followed by the user. For content requiring user consent, the Company will separately seek the user’s explicit consent.

8.2 All new features, upgrades, and newly launched services of the products within the system shall be subject to this Agreement.

8.3 All headings in this Agreement are for ease of reading only and have no substantive legal meaning, and shall not be used as the basis for interpreting this Agreement or determining disputes.

8.4 If any provision of this Agreement is invalid or unenforceable in whole or in part, the full validity of the remaining provisions shall not be affected.

8.5 All notifications and announcements from ZWSOFT to users may be delivered via any means, including web page announcements, emails, SMS, and in-platform messages, based on the contact information you provide on the platform. Once the information is sent, it is considered to have been effectively delivered.
